PROBATIONARY
This is an agreement between you and Imagine Web Inc. of Davao, making it clear that you do not work for Imagine Web Inc. of Davao in any capacity, because it is a co-working space.
I agree and understand that I work for designated corporations located in the United States specified on the “Approved Corporation” list (see appendix A). The approved corporations are responsible for hiring me, paying me, and processing my workload and instruction directly to me.
I agree and understand that Imagine Web Inc, despite a similar name, is a co-working space located in Davao Philippines and the building provides membership based access so that I have working space to do the work for the aforementioned designated corporations located in the United States. The co-working space that I work in (Imagine Web Inc.), is located at:
I understand that I am subject to terms, conditions, rules and policies set forth by Imagine Web INC, Davao, and that the list of corporations have nothing to do with my membership at Imagine Web Inc.
I understand that if I am terminated from the corporations on the approved list, my membership to the building will be revoked. However, if I do not follow policy or violate rules or regulations from Imagine Web Inc., my membership and access to the Imagine Web Inc. building can be revoked and I alone am responsible for continuing my work with other corporations and Imagine Web Inc. is not responsible for employment and does not employ anyone..
RULES, REGULATIONS, TERMS & CONDITIONS FOR MEMBERSHIP ACCESS TO Imagine Web Inc. Davao, Philippines (Co-working space)
Below are the rules, regulations and policies of Imagine Web Inc. These must be observed at all times while on the premises of Imagine Web Inc. located at:
I agree and understand that any violation of these rules, regulations, terms and conditions and policies within, may result in termination of membership and loss of access to the facilities above mentioned and/or civil or criminal prosection, depending on the nature of the offense.
Office Noise Policy
No listening to audio openly. You must use headphones if you choose to listen to audio and ensure the volume is not disruptive to anyone around you. No talking loud, shouting, using devices that make noise, or making noises such as whistling or clapping or other noises that could be deemed disruptive or inappropriate to your team.
Devices
Imagine Web Inc. does not regulate device usage within the premises unless the devices disrupt operations. Nevertheless, every worker should consult their superiors for their device policy.
Cleanliness
You must maintain a clean and or orderly work environment. Be sanitary. Leaving trash or disorganizing objects and not cleaning it up is grounds for disciplinary action which could include membership termination.
Personal Hygiene
Ensure you maintain your personal hygiene remembering that you are working in a group environment and it is disrespectful to others who work near you on a regular basis.
Theft, Loss, or Damage
Any theft, loss of items, or damage shall not be tolerated and the staff member(s) shall be held fully liable.
Security
It is important for the well-being and safety of all members that you fulfill your duty by not creating a security incident and being mindful of procedure. Always ensure you do not do any of the following:
Access Policy
All members at no time shall permit any other person to enter the Imagine Web premises without express consent from the Chief Executive of Imagine Web Inc. In the event of termination or resignation, the contractor understands that they alone may come to the guard station and may not enter the building without being personally accompanied by the Chief Executive if he chooses to do so, or property exchange may take place from the guard station. The contractor understands that if outside individuals enter the premises, even to the guard station, they may be prosecuted under trespass law or any other relevant provision of law and can be arrested and detained by security forces and handed over to police for prosection. The contractor understands that no person is allowed on the premises who does not work for Imagine Web, either by contract or employment.
Always report any instance of damage, theft, suspicious activity, or violations of policy.
Kitchen
The kitchen is designed to facilitate its team members, nevertheless, no team member may operate in the kitchen without express consent from the executive department.
An individual or individuals shall be assigned to operate in the kitchen, no other team member may use the kitchen facilities, which include the sink, its dishes, the microwave, stove or utilities.
Team members may use the water cooler designated to them, and enjoy any condiments,tea or coffee made available for the team members.
A fridge will be assigned to various team members, they may not use the fridge that belongs to the kitchen in any way without express consent from a member of the executive department.
If anything is needed from the kitchen, the team member must approach the designated kitchen staff. Just like when you go to McDonalds you don't jump behind the counter and start using their equipment to prepare things for yourself, so it is with Imagine Web’s kitchen.
Bathrooms
Bathrooms are open for use; only executive staff may lock the doors to the bathrooms while in use. Ensure that you always keep the bathroom clean after use. If you mess something up, you are the one responsible to clean it. Anything that breaks should be reported immediately to a supervisor. Designated staff will stock the bathroom with soap and toilet paper and an absence of supply should be reported to a supervisor.
Shower, Storage, Equipment
The shower, storage cases and other non-issues equipment is reserved for executive staff and authorized personnel only. Locations and items not intended for use by members will usually (not always) be marked by signage.
Damage
Any damage caused by a member must be paid for by the member.
Volunteer Status
Any work you do within the office such as cleaning, cooking or anything related to the well being of the office or its members, shall be considered completely voluntary and is not done under an employee/employer relationship. Imagine Web Inc. Co-working space does not have any employees.
Membership Agreement for Co-Working Space Access
This Membership Agreement (hereinafter referred to as the "Agreement") is entered into by and between Imagine Web Inc. (hereinafter referred to as "Imagine Web" or "Company"), with principal offices located at M. L Quezon Blvd, Poblacion District, Davao City, 8000 Davao del Sur, Philippines, and the undersigned individual (hereinafter referred to as the "Member"). The Agreement outlines the terms and conditions under which the Member may access the co-working space facilities provided by Imagine Web.
By signing this Agreement, the Member agrees to abide by the terms and conditions set forth herein, and to select one of the following membership tiers. Memberships are available exclusively to employees or affiliates of companies listed on the "Approved Corporation List" provided by Imagine Web.
Membership Options:
Gold Membership - PHP 22,000/month
Silver Membership - PHP 17,500/month
Green Membership - PHP 14,000/month
If a Member revokes their membership or it is terminated by Imagine Web, they will immediately lose access to the facility. If the Member has left any personal belongings inside the building, they will not have the right to re-enter the premises to retrieve them. The Member must consult with Imagine Web Inc. leadership to arrange for the retrieval of their belongings, which will be handed over outside the building. No non-members, including former members, are permitted access to the premises at any time.
By signing below, the Member agrees to the terms and conditions set forth in this Agreement and confirms their choice of membership tier.
Trial Membership Agreement
Waiver of Membership Fees for Trial Membership – Co-Working Space Access
This Waiver Agreement (hereinafter referred to as the "Agreement") is entered into by and between Imagine Web Inc. (hereinafter referred to as "Imagine Web" or the "Company"), with principal offices located in Davao City, Philippines, and the undersigned individual (hereinafter referred to as the "Member"). This Agreement outlines the terms and conditions under which the Member may access the co-working space facilities provided by Imagine Web under the Trial Membership, with the membership fees being waived for a period of one (1) year from the start date of this Agreement.
By signing this Agreement, the Member agrees to the terms and conditions of the Trial Membership and acknowledges that all associated membership fees will be waived for one (1) year. This Trial Membership includes only the following benefits:
No additional benefits, such as meals, coffee, or other services, are included under this membership.
Membership is available exclusively to contractors or affiliates of companies listed on Imagine Web's "Approved Corporation List." Imagine Web reserves the right to update this list periodically. Members must ensure their affiliation with an approved company remains valid throughout the membership period. Failure to do so may result in termination of this Agreement.
The Trial Membership provides access to Wi-Fi, a desk, and complimentary water from dispensers. The Member acknowledges that no other benefits or amenities are included under this membership.
Members are provided with a desk; however, Imagine Web does not guarantee a specific or designated desk location. Desk assignments are subject to the discretion of the Company and may be adjusted based on space availability.
Members will have access to the co-working space from 6:45 AM to 11:00 PM daily, unless granted overnight usage status by the chief executive. Membership cards are personal and non-transferable. Any misuse of the card, including sharing it with non-members, may result in termination of this Agreement.
Wi-Fi is provided as part of the Trial Membership. However, the Member acknowledges that occasional service interruptions may occur, and Imagine Web will not be held responsible for any temporary loss of connectivity.
Water dispensers are available within the facility for the Member's use. This service is provided complimentary under the Trial Membership. Imagine Web will not be liable for any temporary unavailability of water dispensers.
The membership fee for the Trial Membership will be waived for one (1) year from the start date of this Agreement. After the one-year waiver period expires, the Member will be responsible for paying any applicable fees unless otherwise agreed upon in writing with Imagine Web.
Imagine Web reserves the right to terminate this Agreement at any time if the Member fails to comply with the terms of this Agreement or any facility policies. In the event of a violation of these terms, membership privileges may be revoked, and the fee waiver will be forfeited.
Imagine Web shall not be liable for any indirect, incidental, or consequential damages related to the Member’s use of the facilities or services. While Imagine Web will make every effort to provide uninterrupted services, the Member understands that service disruptions may occasionally occur, and the Company will not be held responsible for any resulting inconveniences.
Members are required to comply with all facility policies set forth by Imagine Web Inc. and any policies of their affiliated corporation. Any breach of these policies may result in the termination of membership and the forfeiture of the fee waiver.
Imagine Web reserves the right to modify the terms of this Agreement, including services and facilities provided.
EXECUTIVE OFFICE AND PERSONAL ASSISTANT CONTRACTOR AGREEMENT

AFOREMENTIONED AS CONTRACTOR SUPRA AND INFRA as the signed party identified within this document as the "contractor."
The Client is of the opinion that the Contractor has the necessary qualifications, experience and abilities to provide services to the Client.
The Contractor is agreeing to provide such services to the Client on the terms and conditions set out in this Agreement.
IN CONSIDERATION OF the matters described above and of the mutual benefits and obligations set forth in this Agreement, the receipt and sufficiency of which consideration is hereby acknowledged, the Client and the Contractor (individually the "Party" and collectively the "Parties" to this Agreement) agree as follows:
The Client hereby agrees to engage the Contractor to provide the Client with the following services (the "Services"):
The Services will also include any other tasks which the Parties may agree on. The Contractor hereby agrees to provide such Services to the Client.
The Contractor shall work under the title of:
The term of this Agreement (the "Term") will begin on the date of this Agreement and will remain in full force and effect until one month from the date of signing, and is subject to earlier termination as provided in this Agreement. The Term may be extended with the written consent of the client.
A document of value shall be deposited for safe keeping with Imagine Web. The document will be returned to the contractor immediately if the contractor is terminated or leaves Imagine Web and has returned any property that belongs to Imagine Web and complied with the terms of this agreement insofar as it relates to notice given prior to departure from Imagine Web. If the contractor fails to return any property of Imagine Web, or comply with the terms of this agreement they shall forfeit the item of value that had been deposited and relinquish all rights to dispute in any court of law or tribunal.
Such items that may be used as collateral include:
In the event that the contractor wishes to terminate this Agreement prior to the date of termination, the contractor shall be required to provide at least 10 days’ written notice to the other Party, unless it is a trial probationary term, in which case the notice period may be reduced at the discretion of the client.
If the contractor wishes to terminate their contract, the contractor shall notify the Chief Executive and/or HR if applicable, and must do so in person. The contractor shall then surrender any property belonging to Imagine Web, including but not limited to the Imagine Web handbook, usernames/passwords or any accounts or access they may have created during their probationary period. Thereafter their security item will be released to them. Early unauthorized single/party termination of this contract by the contractor may result in penalties which fall under the client’s discretion. No wages or compensation shall be paid to any contractor who terminates their probationary period prior to completion during the relevant pay period. E.g. If the contractor worked for 2 weeks and was paid on the second week on a Monday, then quits on a Saturday, the time span between Monday and Saturday shall not be paid.
Termination Due to Dishonorable Conduct or Malicious Acts
In the event that the contractor resigns or is terminated dishonorably or with malicious intent, including but not limited to any violation of the Non-Disclosure Agreement (NDA), engagement in malicious acts, theft, fraud or threats of any kind against the company, its workers, or its executives, the following conditions shall apply:
These terms are binding, and the contractor acknowledges that any dishonorable or malicious behavior will result in immediate action as outlined above, ensuring the protection of the company's interests and reputation. The contractor waves any right to defense in the court of law if found guilty of the above.
The Parties agree to do everything necessary to ensure that the terms of this Agreement take effect.
Unexcused AbsencesContractors are expected to maintain regular attendance as outlined in this contract. Unexcused absences, defined as any absence not approved by the Company or not in compliance with leave policies, may result in disciplinary actions. These actions may include, but are not limited to, pay reduction, demotion, or modification of the terms of this contract. The Company reserves the right to assess the circumstances surrounding any unexcused absence on a case-by-case basis and implement appropriate penalties at its discretion. Repeated unexcused absences may lead to termination of contract.
Except as otherwise provided in this Agreement, all monetary amounts referred to in this Agreement are in PHP (Philippine Pesos).
The Contractor shall fall under a probationary period for exactly 30 days. Of these 30 days a special 2 week trial period shall commence. The trial period is designed to be a period of time where Imagine Web determines whether or not the contractor is suitable for Imagine Web. If Imagine Web does not find the contractor suitable for any reason whatsoever, they shall terminate the contractor immediately at any time within the trial period.
After a term of 30 days has passed, Imagine Web shall conduct a full evaluation of the contractor. If it is determined that the contractor is suitable for Imagine Web, they shall receive a full 1 year auto-renewable contract.
During the probationary period, if the contractor fails to complete the probationary term or quits shortly after, they shall forfeit their wage.

Confidential information (the "Confidential Information") refers to any data or information relating to the Client, whether business or personal, which would reasonably be considered to be private or proprietary to the Client and that is not generally known and where the release of that Confidential Information could reasonably be expected to cause harm to the Client.
The Contractor agrees that they will not disclose, divulge, reveal, report or use, for any purpose, any Confidential Information which the Contractor has obtained, except as authorized by the Client or as required by law. The obligations of confidentiality will apply during the Term and will survive indefinitely upon termination of this Agreement.
Should the Contractor violate the confidentiality agreement, the Contractor agrees to waive all defense in the court of law, and understands that the contract may be terminated and outstanding wages forfeited.
All intellectual property and related material, including any trade secrets, moral rights, goodwill, relevant registrations or applications for registration, and rights in any patent, copyright, trademark, trade dress, industrial design and trade name (the "Intellectual Property") that is developed or produced under this Agreement, shall be the sole property of the Client. The use of the Intellectual Property by the Client will not be restricted in any manner.
The Contractor may not use the Intellectual Property for any purpose other than that contracted for in this Agreement except with the written consent of the Client. The Contractor will be responsible for any and all damages resulting from the unauthorized use of the Intellectual Property. The Contractor also agrees he/she shall not disclose any method or trade secret of the client and violations are also subject to aforementioned penalties.
In providing the Services under this Agreement it is expressly agreed that the Contractor is acting as an independent contractor and not as an employee. The Contractor and the Client acknowledge that this Agreement does not create a partnership or joint venture between them, and is exclusively a contract for service. The Client is not required to pay, or make any contributions to, any social security, local, state or federal tax, unemployment compensation, workers' compensation, insurance premium, profit-sharing, pension or any other employee benefit for the Contractor during the Term. The Contractor is responsible for paying, and complying with reporting requirements for, all local, state and federal or foreign taxes related to payments made to the Contractor under this Agreement.
Unless expressly permitted in written form, the Contractor shall not be permitted to outsource/sub-contract any task or assignment provided him, not withstanding the violation of aforementioned privacy and secrecy sections. If it is found that the Contractor has been doing such, it shall be grounds for penalties and/or termination by the Client.
Except as otherwise provided in this Agreement, the Contractor shall work under the direction of his/her assigned Team Lead. Work methods and scheduling is done under the direction of his/her assigned Team Lead. The Contractor agrees he/she shall provide at least 3 days notice for any “time off”.
The Contractor agrees that he/she shall work at least 6 days of the week. The Contractor shall arrange working hours with the Team Lead and will work according to his direction on a salary basis (not hourly). The Contractor may arrange with his Team Lead the best day to take off, if he/she so desires it, and advance notice of at least 3 days must be given, if the time off exceeds 1 day.
Special provisions:
As a member of the executive department, you will be required to align your schedule and adhere to requirements of the chief executive. You agree and understand you are working on a salary basis and directly under the chief executive as the representative of Imagine Web LLC and as such, you shall adhere to his requirements and direction with regards to work load and quantity of hours.
Use of Devices:
You shall be allowed to use devices such as laptops only for official purposes of Imagine Web LLC and only with permission of the Chief Executive. You may not use your phone within the building you work at, and at no time shall you be permitted to make phone calls within the work place for any reason. You may choose to use your lunch break to make calls outside of the work place if you desire, however, if your calls become disruptive, Imagine Web LLC and it’s leadership, including the Chief Executive, reserves the right to deny access to all calls even outside of the building during breaks. Only the Chief Executive or higher rank shall be permitted to overrule this provision at any time and under his own discretion he may permit or deny the use of devices for select individuals or all individuals who work for Imagine Web LLC, without the need for contractual amendment.
Schedule:
The contractor shall report to work at designated times as outlined by the team lead/Chief Executive. The contractor shall be reliable and inform the team lead/Chief Executive of any changes in schedule.
Breaks:
Time tracking is not applicable to this position, therefore breaks are discretionary but subject to review upon abuse.

Except as otherwise provided in this Agreement, the Contractor will provide at the Contractor’s own expense, any and all tools, machinery, equipment, raw materials, supplies, workwear and any other items or parts necessary to deliver the Services in accordance with the Agreement.
If working in a co-working space such as “Imagine Web, Inc of Davao”, you may use equipment provided by the co-working space if applicable and based upon your agreement with the co-working space.
Any amendment or modification of this Agreement or additional obligation assumed by either Party in connection with this Agreement will only be binding if evidenced in writing signed by each Party or an authorized representative of each Party.
The Contractor will not voluntarily, or by operation of law, assign or otherwise transfer its obligations under this Agreement without the prior written consent of the Client.
It is agreed that there is no representation, warranty, collateral agreement or condition affecting this Agreement except as expressly provided in this Agreement.
This Agreement will enure to the benefit of and be binding on the Parties and their respective heirs, executors, administrators and permitted successors and assigns.
Headings are inserted for the convenience of the Parties only and are not to be considered when interpreting this Agreement.
This Agreement will be governed by and construed in accordance with the laws of the State of Texas and/or the State or Country of which the Contractor resides.
In the event that any of the provisions of this Agreement are held to be invalid or unenforceable in whole or in part, all other provisions will nevertheless continue to be valid and enforceable with the invalid or unenforceable parts severed from the remainder of this Agreement.
The waiver by either Party of a breach, default, delay or omission of any of the provisions of this Agreement by the other Party will not be construed as a waiver of any subsequent breach of the same or other provisions.
All provisions protecting intellectual property and information shall extend beyond termination or departure from the client for a period of 10 years.
